1. Agreement to Terms

By accessing and using the services of Janjua Tech ("Company," "we," "our," or "us"), a software development company based in Belgium, you ("Client," "you," or "your") agree to be bound by these Terms of Service and all applicable laws and regulations.

• Custom software solutions

3. Project Agreement and Scope

Each project will be governed by a separate project agreement that details:

• Specific deliverables and project scope
• Timeline and milestones
• Payment terms and schedule
• Technical specifications
• Maintenance and support terms

Any changes to the agreed scope must be documented and approved by both parties in writing.

4. Payment Terms

• Payment schedules will be defined in individual project agreements
• Invoices are typically due within 30 days of receipt
• Late payments may incur interest charges as permitted by Belgian law
• Work may be suspended for overdue payments
• All prices are exclusive of applicable taxes unless otherwise stated

5. Intellectual Property Rights

Client-Owned Content

You retain ownership of all content, data, and materials you provide to us.

Developed Solutions

Upon full payment, you will own the custom software developed specifically for your project, excluding:

• Third-party libraries, frameworks, and open-source components
• Our proprietary tools, methodologies, and general knowledge
• Any pre-existing intellectual property

6. Client Responsibilities

• Provide timely feedback and approvals
• Supply necessary content, data, and materials
• Ensure you have rights to all provided materials
• Make timely payments as agreed
• Test and approve deliverables within agreed timeframes
• Maintain backup copies of important data

7. Warranties and Disclaimers

Our Warranties

We warrant that our services will be performed with professional skill and care in accordance with industry standards.

Disclaimers

Except as expressly stated, we provide services "as is" without warranties of any kind. We do not guarantee uninterrupted operation or that software will be error-free.

8. Limitation of Liability

To the maximum extent permitted by Belgian law:

• Our total liability shall not exceed the amount paid for the specific project
• We are not liable for indirect, incidental, or consequential damages
• We are not responsible for data loss due to client actions or third-party failures
• Liability limitations do not apply to gross negligence or willful misconduct

9. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of our business relationship. This obligation survives termination of our agreement.

10. Termination

Either party may terminate a project agreement with written notice. In case of termination:

• Payment is due for all work completed to date
• You will receive all completed deliverables
• Confidentiality obligations remain in effect
• We may retain a copy of work for our records

11. Governing Law and Disputes

These terms are governed by Belgian law. Any disputes will be resolved through good faith negotiation first, followed by mediation or arbitration in Belgium if necessary.

12. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technical failures.

13. Modifications

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
